1. Engagement
All work is delivered under a written Statement of Work (SOW). The SOW takes precedence over these terms where they conflict.
2. Intellectual property
Upon full payment, the client owns the project-specific deliverables. JP Tech retains rights to reusable libraries, internal tooling and pre-existing IP.
3. Payments
Invoices are milestone-based, typically 30% on kickoff. Payments are due net 14. Overdue invoices may pause active work.
4. Confidentiality
We treat all client information as confidential and routinely sign mutual NDAs before discovery.
5. Warranty and liability
We warrant our work for 30 days after delivery and will fix material defects free of charge. Liability is capped at fees paid in the prior 6 months.
6. Termination
Either party may terminate with 14 days' written notice. Work-in-progress is invoiced pro-rata.
7. Governing law
These terms are governed by the laws of Bangladesh. Disputes are resolved in Dhaka courts.
